These Terms of Use ("Terms") govern your access to and use of the Magishot mobile application and related services (the "App"), provided by SoftsFab ("we", "us", "our"). By downloading, installing, or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. Eligibility and Accounts

1.1. You must be at least 13 years of age to use the App. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

1.2. You must create an account to access most features. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

1.3. You must provide accurate, current, and complete information during registration and keep it up to date.

2. Description of Service

Magishot is an AI-powered photo and video application that lets users transform images, swap outfits and faces, animate photos, generate AI comics, and apply other AI-driven effects. Some features are free; others require Pro-tier access through an auto-renewable subscription or a coin-based purchase.

3. Auto-Renewable Subscriptions

Magishot offers the following auto-renewable Pro subscriptions through the Apple App Store:

• Pro Weekly — $6.99 per week (with a 7-day free trial for new users)
• Pro Monthly — $24.99 per month
• Pro Yearly — $44.99 per year

Prices are listed in U.S. dollars. Local prices shown in the App Store at the time of purchase are authoritative and may vary by region.

By purchasing a subscription you agree that:

• Payment will be charged to your Apple ID account at confirmation of purchase.
• Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period at the price of the selected plan, unless the price has changed and you have been notified.
• You can manage your subscription and turn off auto-renewal at any time in your Apple ID Account Settings (Settings → [your name] → Subscriptions) after purchase.
• Any unused portion of a free trial period, if offered, is forfeited when you purchase a subscription.

Refunds are handled by Apple in accordance with the Apple Media Services Terms and Conditions (https://www.apple.com/legal/internet-services/itunes/).

4. Coin System

4.1. The App uses a virtual coin system to access certain premium features. Coins may also be granted as a bonus when you start or continue a Pro subscription.

4.2. Coins purchased separately as in-app consumables are non-refundable except as required by applicable law.

4.3. Coin prices are displayed in the App before each transaction.

4.4. Unused coins do not expire unless your account is terminated for violation of these Terms.

5. User Content and License

5.1. You retain ownership of photos and other content you upload to the App ("User Content").

5.2. You represent and warrant that you own or have all necessary rights to the User Content you upload, including the rights of any individuals depicted in photos. You are solely responsible for obtaining consent from any person whose likeness appears in your User Content.

5.3. By uploading User Content, you grant Magishot a non-exclusive, worldwide, royalty-free license to host, store, process, transform, and display your User Content solely for the purpose of operating and improving the App and providing the requested features.

5.4. You may not upload User Content that is illegal, infringes the rights of others, or violates Section 7 (Prohibited Uses).

6. AI-Generated Output

6.1. The App uses third-party and proprietary AI models to generate, transform, and animate images. AI output is probabilistic and may produce results that are inaccurate, unexpected, or unsuitable for your intended use.

6.2. We do not guarantee that AI-generated output will resemble any specific person, style, or outcome, that it will be free of artifacts, or that it can be used for any particular purpose.

6.3. AI-generated content created through the App is licensed to you for personal and lawful commercial use, subject to these Terms and any applicable third-party rights. You are solely responsible for how you use AI-generated content, including obtaining any consents and complying with all applicable laws.

7. Prohibited Uses

You agree not to use the App, including its AI features, to:

7.1. Generate, upload, or distribute content involving the sexual abuse or exploitation of minors, or any content that sexualizes minors in any form.

7.2. Create non-consensual intimate or sexually explicit imagery of any person.

7.3. Generate deepfakes or manipulated media depicting real, identifiable individuals (including public figures) without their consent, for purposes of harassment, defamation, fraud, election interference, or impersonation.

7.4. Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

7.5. Generate content that is hateful, harassing, threatening, or that incites violence against any individual or group.

7.6. Infringe the intellectual property, privacy, publicity, or other rights of any third party.

7.7. Engage in any illegal activity or violate any applicable law or regulation.

7.8. Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App, except to the extent permitted by law.

7.9. Use automated systems, bots, or scripts to access the App, scrape data, or interfere with its operation.

7.10. Resell, sublicense, or commercially redistribute the App or your access to it.

We may remove content, suspend access, or terminate accounts that violate these rules, and may report unlawful content to the appropriate authorities.

8. Intellectual Property

8.1. The App, including its design, software, models, trademarks, and underlying technology, is owned by SoftsFab and its licensors and is protected by intellectual property laws.

8.2. AI models, datasets, and algorithms used in the App remain the property of their respective owners and licensors.

8.3. We grant you a limited, non-exclusive, non-transferable, revocable license to use the App on Apple-branded devices you own or control, in accordance with the Apple Media Services Terms and Conditions.

9. Privacy

Your use of the App is subject to our Privacy Policy, which describes what data we collect, how we use it, and your rights. The Privacy Policy is available at https://picgen-app-efdqepdbdme0g5gm.centralus-01.azurewebsites.net/privacy and from within the App.

10. Third-Party Services

10.1. The App relies on third-party services (including Apple App Store and StoreKit, RevenueCat for subscription management, and AI providers used to process images). Your use of these services is subject to their own terms.

10.2. We are not responsible for the availability, accuracy, content, or practices of third-party services.

11. Disclaimers

11.1. The App is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of AI output.

11.2. We do not warrant that the App will be uninterrupted, secure, or error-free, or that any defects will be corrected.

12. Limitation of Liability

12.1. To the maximum extent permitted by applicable law, SoftsFab and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of the App.

12.2. Our total cumulative liability for any claim relating to the App shall not exceed the greater of (a) the amount you paid to us for subscriptions or coins in the 12 months preceding the claim, or (b) USD $50.

13. Indemnification

You agree to indemnify, defend, and hold harmless SoftsFab and its affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your User Content, (b) your use of AI-generated content, (c) your violation of these Terms, or (d) your violation of any third-party right, including the rights of any person depicted in your User Content.

14. Termination

14.1. We may suspend or terminate your access to the App at any time, with or without notice, if you violate these Terms or for any other reason at our discretion.

14.2. You may delete your account at any time through the App's settings. Active subscriptions purchased through the App Store are managed by Apple and must be cancelled separately in your Apple ID Account Settings.

14.3. Upon termination, your right to use the App ceases immediately. Sections of these Terms that by their nature should survive (including Sections 5, 6, 8, 11, 12, and 13) will survive termination.

15. Changes to These Terms

15.1. We may modify these Terms from time to time. Material changes will be communicated through the App or by other reasonable means.

15.2. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App.

16. Apple-Required Provisions

16.1. These Terms are entered into between you and SoftsFab, not Apple Inc. Apple is not responsible for the App or its content.

16.2. The license granted to you for the App is a limited, non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the Apple Media Services Terms and Conditions.

16.3. Apple is not responsible for providing any maintenance or support for the App.

16.4. In the event the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the App (if any) to you. Apple has no other warranty obligations with respect to the App.

16.5. Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to comply with applicable legal or regulatory requirements, or claims arising under consumer protection or similar legislation.

16.6. Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the App or your use of it infringes that third party's intellectual property rights.

16.7. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

17. Governing Law and Disputes

These Terms are governed by the laws of the jurisdiction in which SoftsFab is registered, without regard to its conflict-of-laws principles. Any disputes shall be resolved in the competent courts of that jurisdiction, except where mandatory consumer protection laws of your country of residence provide otherwise.
